Affiliate Terms and Conditions 1.1

This Agreement outlines the terms and conditions that apply to participants in the PrimeQuote Affiliates Program. In this Agreement, ("we"), ("our") and ("us") refer to PrimeQuote Insurance Services. and ("you") and ("affiliate") refers to the participant. PrimeQuote reserves the right to cancel this agreement at any time.

About the PrimeQuote Affiliates Program
Our Affiliates program ("Program") is free to join and easy to use. As a participating affiliate you simply place links to www.PrimeQuote.com on your website. You decide how you want to link to PrimeQuote. To simplify the process we provide you with a variety advertisements which can be easily added to your website. Each time a potential customer clicks from your website to PrimeQuote's website and becomes a PrimeQuote customer, you can earn a referral fee of up to $40 per customer (see schedule below). Once the customer clicks through to PrimeQuote's website, the entire shopping experience will be our responsibility.

We may reject your application or cancel your membership in the affiliate program if we determine that your organization or website, are not suitable for the Program or have violated the spirit of the Program.  You agree to only promote the Service for lawful purposes.   This means that you agree not to promote the use of the service for transmitting or receiving any illegal, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit, profane, violent, racially or ethnically disparaging remarks or otherwise objectionable material of any kind, including but not limited to any material that encourages conduct that would constitute a criminal offense, give rise to a civil liability, or otherwise violate any applicable local, state, national or international law. PrimeQuote does not and we expect that you will not offer the Service to customers located in other countries.  Additionally, you agree not to:

1. Engage in any 'SPAM' campaign featuring the PrimeQuote name and/or its trademarks
2. Misrepresent the PrimeQuote Affiliate Program in any way
3. Misrepresent your Affiliate relationship with PrimeQuote
4. Present yourself as a PrimeQuote employee or to present your website as a PrimeQuote owned website
5. Violate PrimeQuote's intellectual property rights
6. Promote misleading or false information about PrimeQuote or any of its Affiliates, Resellers, or Wholesalers
7. Use the PrimeQuote Tell-a-Friend program as a marketing program.

PrimeQuote will terminate your agreement immediately and cancel all unpaid referral fees if you violate the above conditions.

Referral Fees
Referral fees are paid for qualified referrals. A Qualified referral must click through a PrimeQuote link on your website and become a FIRST TIME customer by applying a Life Insurance Policy, all during the same session. The process is tracked via an affiliate code, which will be assigned once your application is accepted. The session ends on the earlier of the following events: (i) the 30th day elapses from the customer's initial click through (30 day cookie is set upon passing through your site), (ii) the customer applies and issued a policy, (iii) customer follows a link to PrimeQuote from your website.

Fees are paid in accordance with the following schedule:

$20.00 PrimeQuote $501K to $750K Plan
$30.00 PrimeQuote $751K to $1000K Plan
$40.00 PrimeQuote $1001k or More Plan
 


Fees are paid on the third month anniversary of the last day of the month that the customer subscribes. Payment will be withheld if the life insurance policy could not be issued. You cannot earn a referral fee for signing yourself up as a customer.

Use of Tell-A-Friend
Affiliates may NOT utilize PrimeQuote's Tell-A-Friend ("TAF") marketing program to sign up new customers.

Policies
Customers who apply for a policy through this Program are customers of PrimeQuote Insurance Services. Accordingly, all PrimeQuote Insurance Services  rules, policies, conditions and operating procedures (as articulated in the Terms of Service) will apply to those customers. We may change our policies and operating procedures at any time.

Identifying Yourself as an Affiliate
We will make available to you a graphic image that identifies your website as a Program participant. You must display this image or the phrase "In association with PrimeQuote Insurance Services on the portions of your website that contain PrimeQuote links. We may modify the text or graphic image of this notice from time to time. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement.

Limited License
We grant you a nonexclusive, revocable right to use the graphic image and text described for the purpose of identifying your site as a Program participant. You may not modify the graphic image or text in any way. You may not use any PrimeQuote images that were not provided to you by us in connection to the Program. We reserve all of our rights in the graphic image and text, any other images, our trade names and trademarks, and all other intellectual property rights.

Your Responsibilities
You must be an active PrimeQuote Insurance Services  subscriber, in good standing to maintain your Affiliate status under this agreement. You will be solely responsible for the development, operation, and maintenance of your website and for all materials that appear on your website. We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees and associated legal costs arising from said occurrences) relating to the development, operation, maintenance, and content of your website.

Term of the Agreement
The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause. Upon the termination of this Agreement, you will immediately cease use of, and remove from your website, all links to our site, and all PrimeQuote and PrimeQuote Insurance Services  trademarks, trade dress, and logos, PrimeQuote references of any kind,  and all other materials provided by or on behalf of us to you.

Modification
We may modify any of the terms and conditions contained in this Agreement, at any time and at our sole discretion, by posting a change notice or a new agreement on our website. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR WEBSITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

Relationship of Parties
You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

Limitation of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of profits, revenue or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

Disclaimers
We make no express or implied warranties or representations with respect to the Program or any services sold through the Program (including, without limitation, warranties of merchantability, non-infringement, or any implied warranties arising out of a course of performance, usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES OR CONDUCT MARKETING CAMPAIGNS THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE OR MARKETING CAMPAIGNS.

Miscellaneous
This Agreement will be governed by the laws of the United States and the State of Virginia, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, and be enforceable against the parties and their respective successors. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

PrimeQuote Insurance Services

By submitting the application, you or the entity on whose behalf you are submitting the application (the "Affiliate") hereby ACCEPTS AND AGREES to all of the terms and conditions set forth in the above Affiliate Operating Agreement. The Affiliate Operating Agreement is a binding agreement governing the relationship between the Affiliate and PrimeQuote Insurance Services. Please read the Affiliate Operating Agreement before submitting the application.
